General Term of Use

Preliminary Article. Definitions.

"Client": your employer. This is the legal entity that has subscribed to the Subscription, allowing access to the Skello Solution and Services. The Client is the Controller of your personal data.

"User": you, as an authorized employee, or working for the Client, permitted to use the Solution and Services.

"GTU": these General Terms of Use.

All other terms defined with a capital letter in the GTU have the meaning given to them in the General Terms and Conditions accessible via the following hyperlink: https://www.skello.io/landing/conditions-generales.

1. Purpose

1.1. These GTU define the terms of use of the Solution and Services by the User.

1.2. The GTU do not create any contract between Skello and the User. The only applicable contract is the one concluded between Skello and the Client (the GTC). Your right to use the Solution and Services is derived from the GTC.

1.3. In case of conflict, the GTC shall prevail over the GTU. The Documentation forms an integral part of the GTU.

2. Description of the Solution and Services

2.1. The Services include access to the Solution, hosting, maintenance, support, and optional modules. Access is provided at no direct cost to the User.

2.2. The results provided by the Solution (schedules, indicators, clock-ins) are for informational purposes only. Skello does not guarantee that the Solution and Services are free from error. The Client is solely responsible for checking, validating, and ensuring compliance with applicable labor laws and regulations.

2.3. Decision support features, including AI, may contain errors. The Client remains solely responsible for any decisions made based on these features.

3. User Account access and security

3.1. Creation of User Accounts and roles. The Client manages the creation of User Accounts, as well as the assignment of roles and permissions described in the Documentation.

3.2. Strictly personal Use. Access to the User Account requires personal and confidential credentials. Sharing is prohibited. Any action performed with your credentials is deemed to have been carried out by you, unless you immediately report a compromise.

3.3. Security of credentials and password. You must maintain reasonable security for your access: robust passwords, device updates, access protection (locked screen, etc.).

4.  Conditions of Use of the Solution and Services

4.1. It is prohibited to use the Solution and Services for:

  • Any illegal activity or activity contrary to public policy.
  • Any infringement of third-party rights (intellectual property, privacy).
  • Introducing malicious software or disrupting the Services.
  • Bypassing access controls or performing unauthorized testing without Skello's permission.
  • Providing services to third parties.
  • Implementing surveillance that does not comply with applicable laws.

4.2. Illegal content (child pornography, incitement to hatred, defamation, etc.) is strictly prohibited.

4.3. In the event of a security risk, manifest abuse, or legal obligation, Skello may suspend your access. Skello will inform you and the Client without delay.

5. Availability of the Solution and Services

5.1. Skello makes every effort to guarantee accessibility to the Solution and Services. Disruption may occur (planned maintenance, incidents).

5.2.  No service credit or compensation is due to Users.

6. Traceability and Audit

6.1. Skello retains timestamped logs (creation/modification, clock-in, exports) for documented periods for security, audit, and compliance purposes.

6.2. The logs reflect the explicit configuration choices made by the Client within the Solution.

7. Compliance with Labor Law Regulations

7.1. The Client is responsible for complying with the laws and regulations applicable to its activity and labor law. The Client remains responsible for the configuration choices of the Solution and Services.

7.2. Skello offers a Solution and support Services to the Client, and makes every effort to ensure that the Solution and Services allow the Client to comply with labor laws and regulations.

8. Personal Data

8.1. Roles. Skello processes personal data as a Processor on behalf of the Client, who is the Controller as defined by the GDPR.

8.2. Purposes. Skello processes data only to: (i) provide the Services, (ii) ensure security, (iii) comply with its legal obligations, and (iv) analyze the use of the Solution and Services.

8.3. Exercise of Rights. To exercise your rights (access, rectification, etc.), you must contact your employer (the Client). Skello only assists the Client, which means Skello will not directly respond to your requests to exercise your rights.

9. Intellectual Property

9.1. Skello Ownership. The Solution and the Documentation are protected by Skello's intellectual property rights.

9.2. License to Use. Skello grants you a personal, non-exclusive, and non-transferable license to access and use the Solution, limited to your functions at the Client and the permission levels granted to you by the Client.. 

9.3. Technical Prohibitions. Any modification, decompilation, or extraction of the Solution is prohibited, except for legal exceptions.

10. Content and data

10.1.Accuracy. You guarantee the accuracy of the information you provide. The Client is responsible for the lawfulness of the data processed.

10.2. Content Removal. Skello may remove or block any content that is manifestly unlawful or contrary to the GTU, or upon order from an authority.

11. Revocation of User Account Access

11.1. Revocation. Your access will be revoked by the Client upon termination of the GTC contract or termination of your employment contract.

11.2. Suspension by Skello. Skello may suspend your account in the event of a security risk, serious violation of the GTU, or a legal request.

12. Final Provisions

12.1. Amendments. Skello may update the GTU. Significant changes will be notified to the Client within a reasonable timeframe.

12.2. Governing Law. The applicable law and competent jurisdiction are those provided in the GTC.
